this Agreement. Davidson Services reserves the right to participate in any suit or action involving such indemnification
and shall have the right to reasonably approve any settlement to the extent it may affect Davidson Services directly

Governing Law and Exclusive Jurisdiction
The Agreement and your use of the Site are governed by the laws of the United States of America and the State of
Nevada, without regard to the laws regarding conflicts of law. Any litigation regarding or relating to this Agreement or
any other matter described above or any transaction between any customer or other user of the Site and Davidson
Services shall be brought exclusively in the state or federal courts located in Clark County, Nevada. Every user
hereby agrees to the foregoing and submits to such jurisdiction and venue as proper and waives any right to
change venue.
